HVAC Business Valuation: What Is It Worth?
How to value a heating and air conditioning business in the US. SDE and EBITDA explained, current multiple ranges by revenue mix, add-backs buyers accept, and a worked example.
A working method for American HVAC owners. How buyers rebuild your earnings, which multiple your revenue mix actually supports, and the arithmetic behind the number before anyone quotes you one.
How much is an HVAC business worth?
A US HVAC business is worth roughly
2.5x to 4.0x seller's discretionary earnings
below about $500K of adjusted profit, and
above it, depending on how much revenue sits under maintenance agreements.
Earnings measure below $500K profit
Earnings measure above $500K profit
Start from the tax return, not the management accounts
US buyers and SBA lenders both underwrite from filed returns. If your management accounts and returns disagree, the return wins and the difference becomes a diligence problem.
Decide whether you are on SDE or EBITDA
Seller's discretionary earnings adds your own compensation back, because the buyer will run the business. EBITDA assumes a market-rate manager in your seat. Below roughly $500K of adjusted profit you will be quoted on SDE, above it on EBITDA. The multiples are not comparable, and comparing them is the most common way owners misread an offer.
Add back what a new owner would not spend
Above-market owner compensation, personal vehicles, family payroll, one-time legal or professional costs. Every one has to be evidenced from source documents, not asserted in a spreadsheet.
Normalise the things that repeat but move
A record cooling season, a hurricane year, deferred equipment purchases, warranty accruals. Buyers smooth these across three years rather than crediting your best one.
Split revenue into service, replacement and new construction
Buyers price each line differently, then rebuild gross margin per line. A blended margin hides which part of the business is actually funding the company, and blended presentations get discounted.
Members under a written annual agreement with a documented renewal rate are annuity income and price at the top of the range. Verbal arrangements that renew by habit are not credited the same way.
Replacement pull-through: Replacement revenue generated from your own member base is worth materially more than replacement won on price from cold leads, because it is predictable.

Technician retention: Tenure, pay bands and turnover against the local market. A buyer paying for installed capacity needs to believe the capacity stays after closing.

Licensing and the qualifying individual
State license transfer, or a named qualifier remaining post-closing, is a condition of most deals rather than a detail.
Customer concentration: Any single commercial account above 15 to 20 percent of revenue usually converts part of the price into an earn-out.
Any single commercial account above 15 to 20 percent of revenue usually converts part of the price into an earn-out.
Cash-basis books that cannot be converted to accrual for a quality of earnings review cost real multiple, because the buyer prices the uncertainty.
Operational adjustments that genuinely move the number
Converting one-off repair customers onto written annual agreements, raising agreement renewal rates, repricing service labour to market, and improving first-time fix rates all increase adjusted EBITDA and the multiple applied to it at the same time. Each has to be visible in a full trading year before a buyer will credit it, which is why this work starts twelve to twenty-four months out.
Cost adjustments buyers do not pay for
Cutting marketing, deferring vehicle replacement or thinning the technician base lifts this year's profit and reduces the multiple, because a diligence team reads all three as borrowed earnings. Buyers add the spending back as a required cost rather than crediting the saving.
Example, using round numbers
Illustrative arithmetic for a residential service and replacement company. The figures are chosen to show the method, not to represent any business we have advised.
Move the maintenance share from 38 percent to above half, with documented renewal, and the same earnings move toward the 7.5x to 10.5x band. That is typically a two-year piece of work, and it is worth more than any negotiating tactic available on the day.
Owner compensation above a market rate for the role, evidenced against comparable salaries
Personal vehicles, fuel and insurance run through the business
Family members on payroll who do not work in the business
One-time legal, professional or settlement costs with documentation
Non-recurring relocation or facility set-up costs
Cash revenue not reported on the tax return, which a lender cannot credit at all
Owner compensation add-backs with no benchmark behind them
Repairs recharacterised as capital expenditure to lift profit
Marketing cuts described as savings when they reduce future lead flow
Bad debt and warranty costs treated as one-time when they recur every year
Related-party rent below market, which is normalised up rather than added back
How much is an HVAC business worth per million in revenue?
Revenue multiples are a poor guide in HVAC because margins vary so widely between service, replacement and new construction. Buyers price earnings, not revenue. As a rough sanity check, a service-led residential company running a 12 to 15 percent adjusted EBITDA margin at $6M of revenue would produce $720K to $900K of earnings, which at 6.0x to 8.0x implies $4.3M to $7.2M of enterprise value.
Is my HVAC business valued on SDE or EBITDA?
Broadly, below about $500K of adjusted profit you will be quoted on seller's discretionary earnings, and the buyer is often an individual or search fund using SBA financing. Above that, private equity platforms and strategics price on adjusted EBITDA with a market-rate manager deducted. An SDE multiple of 3.5x and an EBITDA multiple of 3.5x describe very different prices.
How much are maintenance agreements worth in a sale?
Buyers value the base on renewal rate, average annual agreement value and the replacement revenue it pulls through. A written base with renewal documented above 80 percent is treated as annuity income. As a share of the whole valuation, moving maintenance revenue from a third to more than half of the total is commonly worth more than one full turn of EBITDA.
Does the season I sell in change the valuation?
Not directly, because buyers normalise across three years and a trailing twelve months. It changes the process rather than the price: going to market with a strong trailing twelve months, and with the summer season already banked, removes an argument a buyer would otherwise use to re-trade during diligence.
What is a quality of earnings review and will I need one?
It is an independent accounting review a buyer commissions after a letter of intent to test your earnings, add-backs and working capital. Above roughly $1M of EBITDA you should assume one. The practical effect is that anything you cannot evidence from source documents disappears from the earnings your multiple is applied to.
How is working capital treated in the price?
Most US deals are cash-free, debt-free with a normalised working capital target set from your own trailing average. Deliver less than the target at closing and the price is reduced dollar for dollar. Owners who run down receivables collection or stretch payables in the run-up usually pay for it here.
Can I get a valuation without starting a sale process?
Yes. Our free written valuation report takes about a minute to start, rebuilds your earnings, prices your service base separately from replacement work, and identifies the factors holding your multiple down. There is no cost and no obligation to run a process with us.

The pattern is consistent: private equity platforms are paying for recurring residential service bases and commercial maintenance capability. If your business has either, documented properly, you are in the part of the market these buyers are actively competing for.
