Business Brokers: How to Choose the Right One
What a business broker does, when a broker is the right choice and when an M&A advisor is, which states require a license, and the questions to ask before you sign.
Who you appoint determines which buyers ever see your business, and that decides the price more reliably than anything said in the negotiation. How the models differ, what to verify, and the questions that expose a weak appointment.
What does a business broker do, and do I need one?
markets a business for sale, usually by listing it, and handles inquiries through to a sale
. An M&A advisor runs a confidential, targeted process, approaching named acquirers directly and holding several in parallel. Brokers suit smaller owner-operated companies sold to individual buyers. Advisors suit companies whose natural buyers are strategic acquirers and private equity backed platforms.
The distinction is not seniority, it is method, and the method determines the buyer pool. A listing reaches the buyers who are searching. A targeted process reaches the acquirers with a stated acquisition strategy who are not searching at all, and who will pay more because the business fits a plan they are already funding. For a company with contracted revenue, accreditation and a regional footprint, that difference is usually larger than any fee saving.
Broker model", value: "Listing led, buyer inquires, one percentage fee
Advisor model", value: "Targeted approach, several buyers in parallel
Work through these before signing anything. An engagement agreement is usually exclusive for a fixed term with a tail period afterwards, so the decision is harder to reverse than owners expect.
Decide which buyer pool you need
If your likely buyer is an individual acquiring a job and a living, a listing reaches them. If your likely buyer is a national platform or a private equity backed consolidator, a listing does not reach them at all, and the appointment should be made accordingly.
Check the licensing position in your state
Requirements vary. In Florida, the statutory definition of a broker in Chapter 475 of the Florida Statutes expressly covers negotiating the sale of business enterprises and business opportunities, so business brokerage sits inside the state's real estate licensing regime. Other states take different approaches, and securities licensing can also apply to certain equity transactions. Ask directly what license the firm holds and confirm it with the state regulator.
Ask for completed transactions in your sector
Not a client list, not a sector logo wall. Completed transactions in your trade, with a date, that a buyer's corporate development team could verify. Sector experience is worth more than geographic proximity, because the buyers are national.
Ask who they would approach, by name
A serious answer names acquirers, describes their current criteria on size, geography and accreditation scope, and explains why each one would want your business. A vague answer about an extensive buyer network is not an answer.
Get the fee schedule in writing
Retainer, success fee, how the percentage is calculated, what happens if the deal does not close, how deferred consideration such as an earn-out or a seller note is treated, and whether the fee is charged on enterprise value or on proceeds actually received.
Read the term, exclusivity and tail
How long the engagement runs, whether it renews automatically, and for how long afterwards a fee is payable on a buyer introduced during the term. A long tail with a broad definition of introduced buyer can follow you for years.
Establish who actually does the work
The person who pitches is frequently not the person who runs the process. Ask who will be in the buyer meetings, who drafts the memorandum, and who negotiates the letter of intent, and get the answer in the engagement letter.
How will you maintain confidentiality?
A credible answer describes a blind profile, a confidentiality agreement before anything identifiable is released, staged disclosure of customer names, and management meetings held off site. A weak answer describes a listing with the location and the trade on it.
What earnings figure will you take to market?
The answer should be a normalized figure reconciled to filed returns, with each add-back documented. A firm that accepts your most flattering number without testing it is setting you up to be repriced in diligence.
How many buyers will you run in parallel?
Competitive tension is what holds a price when a buyer attempts to renegotiate late. One party with early exclusivity removes it entirely.
What is your close rate on engagements taken?
How many mandates started against how many completed, over a stated period. A firm that signs everything and closes a fraction is monetizing retainers, and you will be paying for the ones that never sold.
Who pays for the quality of earnings review?
In most lower middle market deals the buyer commissions it. Your representative should be preparing you for it from the start, not discovering the add-back problem when the diligence team does.
What happens if I decide not to sell?
Look for the break fee, the reimbursement of expenses, and the tail. An engagement that penalizes a considered decision to stop is one to negotiate before signing, not afterwards.
Will you also represent buyers?
Ask directly whether the firm takes buy-side fees, and from whom. A representative paid by both sides of a market has an interest you should understand before you appoint them.
What is realistic, and what could go wrong?
A firm that only describes the upside has not run enough processes. The useful answer names the specific risks in your business, such as concentration or owner dependence, and what they intend to do about them before a buyer sees them.
Completed transactions in your trade that can be verified
Named acquirers with current, specific acquisition criteria
A written fee schedule covering deferred consideration and failure to close
A stated plan to run several parties in parallel
Senior people named in the engagement letter as doing the work
Willingness to challenge your earnings figure before a buyer does
Clear licensing, confirmed with the state regulator
A valuation quoted before the numbers have been examined
A long exclusive term with an automatic renewal
A broad tail clause covering buyers never actually contacted
An extensive buyer network that cannot be described in specifics
Pressure to sign at the first meeting
Fees charged on enterprise value regardless of what you receive
No answer on how confidentiality is protected
What is the difference between a business broker and an M&A advisor?
Method, and therefore buyer pool. A broker typically lists a business and works the inquiries it attracts, which suits smaller companies bought by individuals. An M&A advisor runs a confidential process, approaches named acquirers directly, and holds several in parallel to closing, which suits companies whose natural buyers are strategic acquirers and private equity backed platforms. Neither is inherently better; appointing the wrong one for your buyer pool is what costs money.
Do business brokers need a license?
It depends on the state, and it is worth confirming rather than assuming. Florida is a clear example of a state where it matters: the definition of a broker in section 475.01 of the Florida Statutes expressly includes negotiating the sale of business enterprises and business opportunities, placing business brokerage inside the real estate licensing regime. Separately, certain transactions involving the sale of securities can raise federal and state securities licensing questions. Ask what the firm holds and verify it with the regulator.
How are business broker fees structured?
Most engagements combine a retainer with a success fee expressed as a percentage of transaction value, with the percentage typically falling as value rises. What matters as much as the headline percentage is the detail: whether the fee is calculated on enterprise value or on proceeds received, how earn-outs and seller notes are treated, what is payable if the transaction does not complete, and the length of the tail. Ask for the schedule in writing and model it against a realistic outcome.
Should I use a local broker?
Sector knowledge matters more than a local office. The buyers for a compliance-led field service business are national platforms and private equity backed consolidators, not businesses on the same street. A firm that transacts in your trade nationally will usually reach a better buyer pool than one with a local address and no sector track record, though local knowledge of state licensing and transfer mechanics is genuinely useful alongside it.
Can I sell my business without a broker?
You can, and some owners do, typically where a buyer has already approached them. The risks are that you negotiate against a buyer who does this professionally and you do not, that you have no alternative party to create tension, and that you run the process while also running the company. If a buyer has already approached you, get an independent view of value before engaging with them, because the first offer in an unsolicited approach is rarely the best one available.
How long is a typical engagement?
Exclusive engagements commonly run for a period of months with a tail afterwards. Read both carefully. The term should be long enough to run a proper process and short enough that a firm which is not performing can be replaced, and the tail should be limited to buyers who were genuinely introduced and can be listed.
