Acquisition Watch: care homes, physical therapy, oral surgery and behavioural health transactions we tracked in the week to 21 August 2026
Tracked UK and US healthcare acquisitions in the week to 21 August 2026, including a 16-home UK care portfolio, an eight-home group sale and three US platform deals, read for owner valuations.
Published 21 August 2026. Window covered: 14 August to 21 August 2026. Written and reviewed by Joe Lewin, Founder and Managing Director, DealFlowAgent.
Key takeaways
- UK elderly care saw real estate money and operator money buying at the same time: a 16-property portfolio acquired off-market by a US listed REIT, and an eight-home group sold to a UK operator.
- The REIT transaction is the clearest signal of the week. A portfolio of 16 homes with over 1,300 operational beds traded without ever being openly marketed, through an adviser-led off-market process.
- US buyers concentrated on clinician-led services: behavioural health, physical therapy and oral and maxillofacial surgery, all bought by acquirers assembling multi-site platforms.
- Two of the US transactions formed or extended platforms rather than adding a single site, which usually means the buyer is paying for management and infrastructure as well as earnings.
- One completed public company transaction disclosed a value: Universal Health Services closed its acquisition of Talkspace at USD 5.25 per share, around USD 835 million. Every owner-managed deal in the window was undisclosed.
- The common denominator across all five was people. Registered managers, therapists and surgeons were what each acquirer named in its announcement.

This is a sample of what we found and verified in the window. It is not a complete record of the market, and a large share of care transactions are never announced.

Who is buying UK care homes, and how are they buying them?
Quietly. The largest UK transaction of the week was a portfolio acquisition completed off-market.
CareTrust REIT and a 16-property UK portfolio. CareTrust REIT acquired a portfolio of 16 care homes across England and Scotland, comprising over 1,300 operational beds, in an off-market process run off market. [1] [2]
Off-market matters. It means the portfolio was never openly marketed, that a small number of buyers saw it, and that the seller took a price agreed in a closed process. For a single-home or small-group owner, the read-across is not that off-market is better. It is that an unopposed buyer is negotiating against nobody. Off-market suits a seller who values confidentiality and speed above competitive tension, and it suits a buyer who wants to avoid both. Know which of those you are optimising for before you agree to a private conversation.
Holmwood Care and an eight-home group. An eight-home care group was sold to Holmwood Care, adding operational scale to a UK operator. [3]
Group sales of this size are where trade operators are most active. A buyer taking eight homes at once is acquiring a management structure, not just beds, and the quality of that structure is usually the difference between a clean process and a discounted one.

What are US buyers building in clinician-led services?
Platforms. Two of the three US transactions in this window were about assembling something rather than adding to it.
O2 Investment Partners forms a physical therapy platform. O2 Investment Partners announced a partnership with Evolution Physical Therapy & Fitness and True Sports Physical Therapy, forming a new physical therapy, fitness and wellness platform. [4]
Forming a platform out of two businesses simultaneously is a specific signal: the sponsor wants scale from day one and a management team drawn from both. For clinician owners, this is the structure where retained equity is most common, and where the value of that retained stake depends entirely on what the group does next.
U.S. Oral Surgery Management and Cottonwood Oral & Maxillofacial Surgery (Albuquerque). USOSM secured a partnership with Cottonwood Oral & Maxillofacial Surgery, expanding the management services organisation into New Mexico. [5]
The MSO model is worth understanding if you own a clinical practice. The buyer typically acquires the business operations and contracts with the clinical entity, leaving clinical decisions with the practitioners. It is a well-established structure, and the negotiation usually turns on the length of the clinician commitment, the compensation model afterwards, and what happens if a key clinician leaves.
Universal Health Services and Talkspace (completed). UHS completed its acquisition of Talkspace at USD 5.25 per share, a transaction of roughly USD 835 million, bringing virtual behavioural care into a large hospital operator. [6]

What owners can act on
Decide deliberately between off-market and a process. Off-market protects confidentiality and can be fast. A competitive process usually protects price. Both are legitimate. Choosing by accident, because a buyer got in touch first, is not.
Beds and sites are not the unit of value. Occupancy trend, fee rates by funder, staffing cost including agency, and property tenure are what set a care valuation. Assemble a 24-month view of each before anyone asks.
Registered managers and key clinicians are the deal. Every announcement in this window named people. Retention arrangements, notice periods and succession for those roles should be settled before a sale, not during one.
If you are offered retained equity, value it separately. In a platform deal, your rolled equity is a second investment decision with different risk to the cash you take out. It deserves its own analysis.
Understand MSO and management-contract structures. What is being bought, what stays with you, how long you are committed for and what your compensation looks like afterwards matter as much as the enterprise value.
Keep regulatory paperwork current. Registrations, inspection reports, action plans, leases and funder contracts. In regulated healthcare, these determine the timetable between agreement and completion.

Frequently asked questions
A buyer has offered to do this off-market. Is that a good idea?
It can be, particularly where confidentiality with staff, residents or commissioners is your priority, or where the buyer is clearly the natural owner. The trade-off is that you lose the price tension that comes from having credible alternatives. At minimum, establish an independent view of value first so you can judge the offer against something.
Does a REIT buying homes mean property values are rising?
Not necessarily, and one portfolio transaction should not be read as a market-wide trend. What it does confirm is that institutional capital remains interested in UK care real estate with operational beds behind it. Your own property value depends on the home, its condition, its location and the covenant of the operator.
What is an MSO, and is it a sale?
A management services organisation buys the business and administrative side of a clinical practice and contracts with the clinical entity, leaving clinical decisions with practitioners. It is a real sale of the business operations, usually with a multi-year clinician commitment attached. The commitment period and post-completion compensation are the terms that matter most.
Should I take retained equity in a platform deal?
It depends on your view of the buyer's plan and your tolerance for illiquidity. Rolled equity can produce a larger total return than a full cash exit. It can also be worth less than expected if the group underperforms, and you will usually have little control over the exit timing. Treat it as a separate investment decision.
Do you contact buyers about my business if I request a valuation?
No. We never approach an acquirer about your company until we hold a formal mandate with your written permission.
How do I benchmark when almost no prices are disclosed?
On characteristics rather than headlines. Occupancy, funder mix, fee rates, staffing and agency cost, regulatory ratings, manager stability and property tenure set the range in care. A free valuation report applies those to your own numbers.

Methodology and disclosure
Transactions were identified through sector-specific and country-specific searches covering 14 August to 21 August 2026, then verified by opening each source page and reading its stated publication date. Company newsrooms, regulatory filings and specialist deal press are treated as primary or near-primary. Aggregators and social posts are used for discovery only. Portfolio sizes, bed numbers, deal values and business descriptions are as stated by the cited sources; nothing has been inferred. Source 2 is later coverage of the same transaction and is included because it adds detail on the off-market process and the adviser involved. Several further UK candidates were excluded from this window: at least one because the announcement proved to date from before 14 August, and others because the reporting source could not be retrieved directly.
Nothing in this article is investment, financial, legal or regulatory advice. Commentary describes patterns across the transactions listed and is not an assessment of any individual company.
