    Most owners find out how a buyer really sees their business at the worst possible moment: three weeks into diligence, when the offer gets rewritten. The Exit Readiness Scorecard exists to move that moment forward by a year or two, while you can still do something about it.

    It is free, it takes about six minutes, and it scores your business across the twelve factors acquirers actually underwrite.

    What the scorecard measures

    Buyers do not price a business on turnover. They price defensible earnings and the risk attached to those earnings continuing without you. The scorecard breaks that down into twelve factors, grouped into four strands.

    Earnings quality. Defended EBITDA, add-back credibility, gross margin stability and the accuracy of your management accounts. A business with clean monthly accounts and a defensible add-back schedule holds its number in diligence. One without them gets re-traded.

    Revenue durability. Contracted and recurring revenue, customer concentration, contract length and renewal history. Recurring maintenance and compliance income is worth materially more per pound than reactive project work, which is why service-led businesses in fire safety and compliance, testing and inspection trade at the top of their sector ranges.

    Operational independence. Key-person dependency, second-tier management, documented processes and systems. This is the single most common reason a good business gets a mediocre multiple. If the owner holds the client relationships, the pricing knowledge and the technical sign-off, the buyer is acquiring a job, not an asset.

    Compliance and record. Accreditations, health and safety record, insurance history, licence and certification currency, and the state of your contracts and employment records. Nothing kills momentum in a deal faster than paperwork that cannot be produced.

    Why we built it

    We speak with a large number of owners each month across building services, facilities management and healthcare in the UK and US. The same pattern repeats. The business is genuinely good. The earnings are real. And the value leaks out in diligence because of things that were fixable eighteen months earlier and are not fixable eighteen days before completion.

    Key-person dependency is the clearest example. It is the reason we work with Nick Barker of FM Talent Partners, whose work placing senior operators closes exactly the gap that costs owners a turn of EBITDA or more.

    What you get back

    The scorecard returns a score out of 100, a band, and a factor-by-factor breakdown showing where you sit and what a buyer would flag. Each weak factor comes with the practical action that closes it and an indication of the valuation effect if you do.

    It is deliberately blunt. A score in the seventies with two red factors is more useful to you than a flattering number.

    How to use the result

    Treat it as a plan, not a verdict.

    1. Fix the two lowest-scoring factors first. They usually carry the largest valuation impact per month of effort.
    2. Give yourself twelve to twenty-four months of clean, evidenced trading after the fix. Buyers pay for demonstrated improvement, not intentions.
    3. Re-score before you go to market, and use the improved evidence pack as part of your information memorandum.
    4. Benchmark the outcome against real transactions in your sector using our valuation guides, then read exit planning for the tax and timing side.

    Where the benchmarks come from

    The scoring weights are drawn from completed transactions in building services, facilities management and healthcare, our own buyer research across a network of more than 13,000 acquirers, published deal data, and the diligence patterns we see repeatedly on live mandates. Sector-specific ranges sit in the guides for HVAC, electrical, security systems and the wider valuation hub.
