            "@type": "Answer",
            "text": "The UK market currently has two distinct types of buyer actively pursuing fire safety businesses. The first are PE-backed consolidators, purpose-built platforms backed by private equity that are buying multiple businesses each year to create national or regional compliance groups. Examples include Ranger Fire and Security (Hyperion Equity Partners), New Path Fire and Security (Duke Capital), and ABCA Systems (Trimountain Partners). These buyers move quickly, understand the sector well, and typically offer a combination of cash at completion and earnout targets linked to trading performance. The second group are large corporates and listed businesses looking to expand their compliance capabilities. Mitie's £350 million acquisition of Marlowe Plc in 2025 is the highest-profile recent example, creating the UK's largest fire compliance and TIC provider. For business owners at the £1m to £10m revenue level, the PE-backed consolidators are the most active and realistic buyers. International buyers, primarily from the United States, are also beginning to look at the UK market as an entry point to Europe. Companies such as Pye-Barker Fire and Safety (57 acquisitions in 2025 alone) and APi Group (the world's largest life safety services company) are explicitly considering European expansion."

          "name": "What makes my fire safety business attractive to a buyer?",
          "acceptedAnswer": {
            "@type": "Answer",
            "text": "Buyers in this sector are primarily looking for three things: recurring revenue, certified competence, and client diversification. Recurring revenue means income from long-term maintenance contracts, planned preventative maintenance programmes, and regular inspection visits rather than one-off project work. The more of your revenue that arrives predictably each year from committed clients, the more a buyer will pay for it. Certified competence means holding the right third-party certifications, such as BAFE SP203-1, NSI Gold, LPS 1014, or equivalent, and having a team of engineers with formally recognised qualifications. Following the new BAFE SP203-1 requirements introduced in November 2023, Level 3 qualifications are now expected for Lead Engineers. Buyers carry out detailed due diligence on certification status, and gaps will affect both price and deal structure. Client diversification means not relying on a single FM contractor, landlord, or public sector client for the majority of your income. A business with 40 direct-relationship clients across social housing, commercial property, and healthcare is worth more than one with three FM subcontract relationships, even if the headline revenue figures are similar."

          "name": "The Building Safety Act 2022 has created a lot of new work. Does that help when selling?",
          "acceptedAnswer": {
            "@type": "Answer",
            "text": "Yes, significantly. The regulatory pressure created by the Building Safety Act 2022, the Fire Safety (England) Regulations 2022, and the Building Safety Regulator means that spending on fire safety services is now non-discretionary for building owners. They must comply, and they must use competent providers who can demonstrate their qualifications. That structural demand driver is one of the main reasons private equity has invested so heavily in this sector. For your business, the Act has likely generated new revenue streams (fire door inspections, fire risk assessment updates, smoke ventilation servicing) and increased the repeat frequency of existing maintenance visits. Buyers will want to understand how much of your recent growth is driven by this regulatory uplift and whether that work is contracted on a recurring basis or reflects one-off remediation activity. If your business has built ongoing compliance relationships off the back of Building Safety Act requirements, for example quarterly fire door inspection contracts or fire risk assessment review programmes, those relationships are highly valuable and worth presenting clearly in any marketing process."

        },
        {
          "@type": "Question",
          "name": "I run a fire risk assessment consultancy. Is that a different kind of sale process?",
          "acceptedAnswer": {
            "@type": "Answer",
            "text": "Yes, to an extent. Fire risk assessment (FRA) consultancies are valued on different criteria from installation and maintenance businesses. The key concern for buyers is whether the business's value is genuinely transferable or whether it sits primarily in the expertise and client relationships of one or two key individuals. Buyers will look very carefully at how many qualified assessors you employ, whether clients have contractual relationships with the company or personal relationships with individual assessors, and whether you have documented methodologies and quality assurance processes. If a significant proportion of your assessments are signed off solely by the business owner, buyers will factor in the risk that those clients follow the assessor rather than remaining with the business post-sale. There are active buyers for FRA consultancies, particularly those working in social housing, higher education, and commercial property, but achieving a strong valuation requires demonstrating that the business is not dependent on any single person. Building BAFE SP205 certification, documenting your assessment methodology, and having at minimum one or two other qualified assessors who maintain client relationships directly are the most effective steps to take before approaching the market."
          }
        },
        {
          "@type": "Question",
          "name": "How long does a sale process typically take for a fire safety business of my size?",
          "acceptedAnswer": {
            "@type": "Answer",
            "text": "For a business valued between £1m and £10m, a well-run sale process typically takes between four and nine months from the point of formally appointing an adviser to receiving funds. The main stages are: preparation and marketing materials (four to six weeks); initial approaches to buyers (four to six weeks); management meetings and heads of terms (four to six weeks); and due diligence and legal completion (eight to sixteen weeks). PE-backed buyers who are actively building platforms tend to move faster than trade buyers. They have experienced deal teams, access to financing, and existing due diligence frameworks. They are also very focused on the quality of your maintenance contracts, certification status, and management team, so having these in good order before the process begins will shorten the due diligence phase and reduce the risk of price renegotiation late in the process. Businesses with any certification gaps, key person risks, or client concentration issues should address these before commencing a sale process rather than hoping they will not be raised in due diligence. They will be."
          }
        },
        {
          "@type": "Question",
          "name": "Will a buyer want me to stay involved after the sale?",
          "acceptedAnswer": {
            "@type": "Answer",
            "text": "This is one of the most common questions from business owners, and the answer depends very much on the type of buyer and the structure of your business. PE-backed consolidators typically ask departing owners to remain involved for a handover period, usually six to twelve months, to ensure client relationships and technical knowledge are transferred effectively. Some will offer a minority equity stake and a management role if the owner genuinely wants continued involvement in a growing group. Others prefer a clean exit once the handover is complete. The more your business depends on your personal involvement, including client relationships, technical sign-offs, and engineer management, the more a buyer will seek to retain you for longer and the more likely it is that part of your payment will be structured as an earnout rather than paid in full at completion. Business owners who have built management depth and reduced their own operational involvement will generally have more flexibility around exit terms. If a clean exit is your goal, start reducing your operational footprint at least two or three years before you plan to sell. Hire or promote a second-in-command, ensure clients are comfortable dealing with other members of your team, and document your systems and processes so that the business can operate without you."

        },
        {
          "@type": "Question",
          "name": "Is now a good time to sell my fire safety business?",
          "acceptedAnswer": {
            "@type": "Answer",
            "text": "The market conditions in 2025 and early 2026 are genuinely favourable for sellers. Deal volumes in UK fire and security M&A remained strong throughout 2025, with 184 facilities services deals completing according to Grant Thornton's proprietary tracker, with fire and security accounting for 23% of all deals, the most popular sub-sector. PE-backed buyers drove 70% of fire and security deals in 2025, reflecting intense competition for quality assets. The structural tailwinds remain in place: the Building Safety Act continues to generate demand, the UK has a structural fire safety skills shortage that constrains supply, and the market remains highly fragmented with many owner-managed businesses still available for acquisition. Debt market conditions have eased from 2023 highs, and private credit fundraising in Europe reached around €40 billion in H1 2025, a threefold increase year-on-year, creating competitive conditions for deal financing that support strong pricing for sellers. That said, the best time to sell is when your business is in good shape: growing, with clean certifications, a stable team, and diversified clients. A rushed sale driven by owner fatigue, loss of a key client, or an upcoming certification audit rarely achieves the best outcome."

The Market Moment

## Two Sides of the _Same Table_

### For Business Owners

You have probably been approached. PE-backed platforms, national compliance groups, trade buyers looking to add your contracts. But most owners have no idea who is genuinely buying, who has the capital to close, and who will waste months of your time. Without competing offers, there is no leverage. The buyer sets the pace, anchors low, and waits. We change that dynamic.

### For Acquirers

We maintain a proprietary pipeline of off-market fire safety businesses across the UK and US. Fire detection, passive fire, suppression, BAFE-certified maintenance operators. If you have defined acquisition criteria, register your interest and we will match you directly to relevant opportunities as they come to market.

## What Every Fire Safety Owner _Needs to Know_

"Is my maintenance contract book really worth that much?"

Your recurring service and maintenance agreements are your most valuable asset, but buyers will scrutinise every detail: BAFE certification status, contract renewal rates, client concentration, and whether the relationships depend on you or your team. Without a structured process, the true value of your recurring revenue goes unrecognised.

"What happens to my engineers after I sell?"

Your fire alarm technicians and risk assessors are the reason your clients trust you. The wrong acquirer can dismantle the culture you have built. We only work with buyers who have a credible plan for your team, and we hold them to it through the deal terms.

"Will the Building Safety Act affect my sale?"

Post-Grenfell regulation is reshaping the market. Buyers are actively looking for compliant, well-documented businesses. Gaps in third-party certification, incomplete fire risk assessment records, or missing competence evidence can stall a deal or reduce the price significantly.
